The terms and conditions governing Profile Nepal's web design, development, and digital services.

These Terms of Service ("Terms") govern all services provided by Profile Nepal ("we", "our", "us") to clients ("you", "client"). By commissioning a project, signing a proposal, or making a payment, you agree to these Terms in full.
1. Acceptance of terms
Commissioning a project from Profile Nepal — whether verbally, by email, by signing a proposal, or by making a payment — constitutes acceptance of these Terms. These Terms supersede any prior verbal agreements unless otherwise confirmed in writing. If you do not agree to these Terms, do not commission our services.
2. Services and deliverables
Profile Nepal provides web design, web development, SEO, domain registration, web hosting, logo design, multimedia presentation design, and digital strategy consulting. The specific deliverables for each project are defined in the written project proposal or statement of work provided before the project begins.
Deliverables not listed in the proposal are considered out of scope and will be quoted separately if required. We reserve the right to decline requests that fall outside our capabilities or values.
3. Project engagement terms
- Project start: work begins only after receipt of the agreed deposit and written project approval.
- Timeline: project timelines are estimates. Delays caused by the client (late content delivery, late approvals, scope changes) are excluded from the stated timeline and may extend delivery.
- Revisions: revision rounds included are stated in the proposal. Additional revisions beyond the stated rounds are billed at our standard hourly rate.
- Client content: the client is responsible for providing all content (text, images, logos) in a timely manner. Project delays caused by late content delivery are the client's responsibility.
- Approval: client approval (written or via email) at each project milestone is required before the next phase begins. Approval is deemed given if no written objections are received within 5 business days of delivery.
4. Payment and invoicing
Payment terms are governed by our Billing Policy, which forms part of these Terms. Read our Billing Policy →
In summary: a 50% deposit is required before work begins. Final payment is due before the completed project is released. Hosting and domain services are billed annually in advance. Late payments accrue an administrative fee as detailed in the Billing Policy.
5. Intellectual property
Upon receipt of final payment, the client receives full ownership of all custom code, design files, and content created specifically for their project. There are no ongoing licensing fees.
Profile Nepal retains the right to:
- Display the completed project in our portfolio and case studies
- Reference the project in proposals and marketing materials
- Retain copies of code and design files for our own records
Third-party assets (stock images, fonts, licensed plugins) used in the project remain subject to their original licences. The client is responsible for obtaining appropriate licences for any third-party assets they request.
Profile Nepal retains ownership of all work until final payment is received. Partial delivery of files before final payment does not transfer ownership.
6. Client responsibilities
- Provide accurate and complete project briefs, content, and feedback
- Ensure all content provided does not infringe third-party intellectual property rights
- Obtain necessary permissions for any images, logos, or content they provide
- Maintain secure access to any accounts shared with Profile Nepal during the project
- Review and respond to project submissions within the agreed timeframe
- Keep login credentials and server access details secure after project handover
The client indemnifies Profile Nepal against any claims arising from content provided by the client that infringes third-party rights.
7. Limitation of liability
Profile Nepal's liability in connection with any project is limited to the total fees paid by the client for that project. We are not liable for:
- Loss of revenue, profits, or data arising from website downtime or errors
- Consequences of changes made to the website by the client or third parties after handover
- Search engine ranking changes beyond our control
- Security breaches resulting from the client's failure to maintain software updates
- Force majeure events including power failures, server outages, or natural disasters
8. Termination
Either party may terminate a project with written notice. Cancellation terms are governed by our Billing Policy. Profile Nepal reserves the right to terminate a project immediately if the client engages in abusive conduct toward our team members or requests that we produce content that is illegal, defamatory, or offensive.
9. Governing law
These Terms are governed by the laws of Nepal. Any disputes that cannot be resolved amicably will be referred to the courts of Nepal, with Pokhara as the agreed jurisdiction.
